Artesia International Street Fair and Diversity Festival Beer and Wine Garden BEER & WINE SERVICES NOTICE INVITING BIDS AND BID FORM Notice is hereby given that the City of Artesia (“City”) invites bids for Beer and Wine Services during the City of Artesia 2018 International Street Fair & Diversity Festival (“Festival”). The City will receive such bids at City Hall, Attn: Pradeep Elayath and/or Ernesto Sanchez (2018 International Street Fair & Diversity Festival), 18747 Clarkdale Avenue, Artesia, California 90701 up to 3:00 p.m. on August 15, 2018. All bids must be made on this Notice Inviting Bids and Bid Form. Bidders shall include fill in all blank spaces in this Form and attach are all required documents as specified below. The bid and attachments shall be enclosed in a sealed envelope bearing the bidder’s name and “Bid for Beer and Wine Services for the International Street Fair & Diversity Festival” typed or clearly printed on the envelope. A bid may be withdrawn without prejudice upon written request by the bidder filed with the City Clerk before the bid submission deadline. Bids must remain valid and shall not be subject to withdrawal for fifteen (15) days after the bid due date. Scope of Services and Specifications • Beer Garden will operate on October 6, 2018, 11 a.m. to 10 p.m. in the designated area of the Artesia International Street Fair and Diversity Festival at Pioneer Boulevard, Artesia, CA 90701. • Vendor must be on site and ready to serve at 11 a.m. • Upon conclusion of the beer garden, vendor is responsible for the clean-up of all supplies brought to the event including the surrounding area of the space. • Vendor is responsible for providing wristbands, beer, wine, cups, ice and all equipment necessary to operate the beer/wine garden including staffing related to the sale of beer and wine. • Vendor agrees to operate the beer and wine garden according to the guidelines established by the Department of Alcoholic Beverage Control (ABC) and will be responsible for obtaining a one-day license from A.B.C. The successful bidder shall: 1. Provide Beer and Wine Services, in accordance with the provisions of this Notice Inviting Bids and Bid Form, at the City-assigned Festival venue location on Pioneer Boulevard during the Festival on October 6, 2018, from 11:00 a.m. to 10:00 p.m., with the last call for beverage service to be made no later than 9:30 p.m. 2. Post a beverage list and a price list (Beer/Wine) at the venue. 3. Serve beer in 12 oz clear plastic cups and wine in 6 oz clear plastic cups. The use of glass containers to serve beer or wine is prohibited. 4. Provide all drink vessels and dispensary equipment for Beer and Wine Services during the Festival. 5. Set-up the City-assigned venue with its equipment to provide Beer and Wine Services prior to 11:00 a.m. on October 6, 2018 and start dismantling its equipment by 10:00 p.m. on October 6, 2018. 6. Create and maintain a serving area within the City-venue location for the duration of the Festival. The City will provide a 20’ x 30’ tent during the event with accessible electricity outlets. 7. The Bid winner may request for a second location if space available. 8. Pay to the City a percentage its gross alcoholic beverage sales made during the Festival, as outlined in their proposal. Licenses Each bidder shall possess a valid Daily License (Special One-day Event Permit) issued by the California Department of Alcoholic Beverage Control and a City of Artesia business license. Bidding Process The City reserves the right to reject any bid or all bids, and to waive any irregularities or informalities in any bid or in the bidding, as deemed to be in its best interest. Further, the City reserves the right, for whatever reason, to revoke the successful bidder’s privileges to serve alcoholic beverages during the Festival. Delivery of Bids No oral, faxed, emailed, or telephonic bids or alternatives will be considered. The time of delivery shall be conclusively determined by the time-stamping clock located at the City Clerk’s office. Bidders are solely responsible for ensuring that their bids are received in proper time, and bidders assume all risks arising out of their chosen means of delivery. Any bid received after the bid submission deadline shall be returned unopened. Accepted Bids shall become the property of the City. Bidder’s Fee In consideration of providing Beer and Wine Services during the Festival, each bid shall be accompanied by cash or a certified or cashier’s check payable to the City in the amount of One Thousand Dollars ($1,000.00) (the “Bidder’s Fee”). In case of the successful bidder’s refusal or failure to provide the Beer and Wine Services, the City may award the Beer and Wine Services to another bidder, and the cash or check (as applicable) of the selected bidder shall be forfeited to the City to the extent permitted by law. Upon the City’s selection of the successful bidder, the Bidder’s Fee shall be non-refundable. Bidder’s fees shall be returned to the unsuccessful bidders within a reasonable time, which in any case shall not exceed fifteen (30) days after the bid due date. Insurance Bidders shall procure and maintain general liability insurance against any and all losses, costs, expenses, claims, liabilities, actions or damages, including liability for injuries to any person or persons or damage to property arising at any time during and/or arising out of or in any way connected with the bidder’s provisions of Beer and Wine Services during the Festival in the amount One Million Dollars ($1,000,000) per occurrence. Such insurance shall name the City, its officers, attorneys, agents, employees, designated volunteers, successors, assigns and those City agents serving as independent contractors in the role of City officers as additional insureds. Bidders shall also procure and maintain special liquor liability insurance in the amount of One Million Dollars ($1,000,000) per occurrence. Bidders shall submit certificates of insurance evidencing required coverages with the bids. Indemnification To the fullest extent permitted by law, the successful bidder shall, at its sole cost and expense, defend, hold harmless and indemnify the City of Artesia (“City”) and its officers, attorneys, agents, employees, designated volunteers, successors, assigns and those City agents serving as independent contractors in the role of City officers (collectively “Indemnitees”) from and against any and all damages, costs, expenses, liabilities, claims, demands, causes of action, proceedings, judgments, penalties, liens and losses, of any nature whatsoever, including fees of accountants, attorneys or other professionals and all costs associated therewith and the payment of all consequential damages (collectively “Liabilities”), in law or equity, whether actual, alleged or threatened, which arise out of, are claimed to arise out of, pertain to, or relate to the acts or omissions of successful bidder, its officers, agents, servants, employees, or subcontractors (or any entity or individual that the successful bidder shall bear the legal liability thereof) in the provision of the Beer and Wine Services during the Festival and its participation in the Festival, including the Indemnitees’ active or passive negligence, except for Liabilities arising from the sole negligence or willful misconduct of the Indemnitees, as determined by final arbitration or court decision or by the agreement of the City and the successful bidder. The successful bidder shall defend the Indemnitees in any action or actions filed in connection with any Liability with counsel of Indemnitees’ choice, and shall pay all costs and expenses, including all attorneys’ fees and experts’ costs actually incurred in connection with such defense. The successful bidder shall reimburse the Indemnitees for any and all legal expenses and costs incurred by Indemnitees in connection therewith. This indemnification shall survive the expiration or termination of the successful bidder’s provision of Beer and Wine Services during the Festival and is in addition to any other rights or remedies that Indemnitees may have under the law. Assumption of Risk and Release of Liability In consideration of being allowed to participate as a Beer and Wine Services vendor during the Festival, the successful bidder agrees that it is aware that the there may be risk of personal injury, death, loss of personal property, accident and/or illness from its participation in the Festival activities. The successful bidder KNOWINGLY, VOLUNTARILY AND FREELY ASSUME ALL SUCH RISKS, whether foreseen or unforeseen in its participation in the Festival, EVEN IF ARISING FROM THE NEGLIGENCE OF THE CITY or others, and assume full responsibility for its participation. The successful bidder willingly agrees to comply with the stated and customary terms and conditions for participation in the Festival. If, however, the successful bidder observes any unusual significant hazard during its presence or participation, the successful bidder shall remove itself from participation and bring such to the attention of the nearest City official immediately. In consideration for the right to provide Beer and Wine Services and participate in the Festival, the successful bidder, for itself and on behalf of its heirs, assigns, personal representatives, executors, administrators, and next of kin, HEREBY RELEASES, INDEMNIFIES, AND HOLDS HARMLESS the City, its officers, attorneys, agents, employees, designated volunteers, successors, assigns and those City agents serving as independent contractors in the role of City officers (“Releases”), WITH RESPECT TO ANY AND ALL INJURY, DISABILITY, DEATH, OR LOSS OR DAMAGE TO PERSON OR PROPERTY, WHETHER ARISING FROM THE NEGLIGENCE OF THE RELEASES OR OTHERWISE, to the fullest extent permitted by law. This Assumption of Risk and Release of Liability is an ongoing obligation and shall remain in effect for the full term of the successful bidder’s participation in the Festival and provision of Beer and Wine Services. THE SUCCESSFUL BIDDER HAS READ THIS ASSUMPTION OF RISK AND RELEASE OF LIABILITY, FULLY UNDERSTANDS ITS TERMS, UNDERSTANDS THAT IT HAS GIVEN UP SUBSTANTIAL RIGHTS BY SIGNING IT, AND SIGNS IT FREELY AND VOLUNTARILY WITHOUT ANY INDUCEMENT. Taxes All sales and/or other taxes assessed by federal, state or local authorities on beer and wine sold, or materials used or furnished by the successful bidder in providing the Beer and Wine Services shall be paid by the successful bidder. Bidders shall calculate payment for all sales and other taxes imposed by federal, state and local law and shall include these payments in computing the bid. Compliance with Laws The successful bidder shall comply with all federal, state and local laws applicable to the sale and service of alcohol during the Festival. Further, the successful bidder shall not serve alcohol to any person under 21 years of age and shall refuse service to anyone who cannot show adequate written evidence of being 21 years of age or older. Checklist for Bidders The following information is required of all bidders at the time of bid submission: 1. Completed and signed application and proposal letter outlining percentage of the profit sharing to the City. 2. A proposed beverage menu, with suggested prices (attachment) 3. Cash or a certified or cashier’s check payable to the City in the amount of One Thousand Dollars ($1,000.00) (the “Bidder’s Fee”) 4. Copy of valid Daily License (Special One-day Event Permit) issued by the California Department of Alcoholic Beverage Control (Due before October 3, 2018) (attachment) 5. Copy of valid City of Artesia business license 6. Evidence of required insurance The undersigned, as bidder, agrees, in the event selected, to provide Beer and Wine Services during the Festival in accordance with the provisions of this Notice Inviting Bids and Bid Form in the time and manner herein prescribed, and to furnish or provide all materials, labor, tools, equipment, apparatus and other means necessary so to do, except as may otherwise be furnished or provided under the terms of this Notice Inviting Bids and Bid Form, for the stated Bidder’s Fee and percentage of gross alcoholic beverage sales as submitted on the bid herein.
